Letter from the Chairman & Chief Executive Officer
INSTINCT BIO TECHNICAL COMPANY HOLDINGS INC. (Nasdaq: BIOT)
July 28, 2026
To our shareholders
On July 24, 2026, our Company began its journey as a Nasdaq-listed public company. Before anything else, I want to say thank you. Thank you to the shareholders who chose to believe in this Company at the starting line of its life as a public entity. Thank you to our people, whose daily work is the real substance of this business. Thank you to our customers and business partners in Japan and around the world. And thank you to the university and academic partners whose science underpins the technologies at the core of our research. A listing is not a destination we celebrate for its own sake. It is a responsibility we have accepted. We are grateful to have been given that opportunity.
Why Nasdaq
We are a Japanese Company that chose to list in the United States. The reason is simple. We wanted to hold ourselves to the highest global standards of transparency, governance, and accountability, and we wanted to stand in front of the deepest pool of investors in the world who understand science-driven businesses. Choosing Nasdaq was not a shortcut. It was a commitment to discipline.
Our purpose and mission
Our purpose is simple.
“We exist to bring joy, smiles, and gratitude to every person in the world.”
We believe that scientific innovation reaches its full value only when it improves human lives. Our mission is to translate the science of life into daily value — honestly, safely, and with a long time horizon. We do this through two core businesses: a cosmetics business developing science-based skincare, and research and development in the field of regenerative medicine. The first creates revenue and customer trust today. The second builds the long-term foundation of enterprise value. Every activity of this Company must strengthen one of these two pillars. Opportunities that do not — however attractive they appear — will be declined.
How we think about enterprise value
You will notice that this letter does not talk about our share price. It never will. That is because we do not manage this Company to influence short-term market movements. We manage this Company to build enterprise value: technology that is difficult to replicate, products that customers choose again because they trust them, people who stay because their work has meaning, and financial discipline that supports all of the above responsibly. Over time, we believe share price is a consequence of enterprise value, not a target. We would rather be judged by what we build than by the market’s reaction in any given quarter.
Our long-term vision
Our long-term vision is qualitative and clear. We want to become a Japanese Company that earns the world’s trust in science-based skincare, and, through honest and rigorous research, a Company that helps advance regenerative medicine from promise to practice. We are early in this journey. We say that plainly. We will not promise miracles. We will promise method: careful science, transparent disclosure, and the patience to measure results in years, not quarters.
Our priorities over the next three years
Over the next three years, our priorities are focus, capability, and discipline — in that order.
First, focus. We will deepen our two core businesses rather than diversify into new ones. Depth compounds. Breadth dilutes.
Second, capability. We will convert research into durable business capabilities that serve those two pillars, including high-quality manufacturing and disciplined international expansion.
Third, discipline. We will build the infrastructure of a trusted public company — internal controls, disclosure practices, and Board governance. We will allocate capital in line with what we have told you we will do, and we will report setbacks and hard questions with the same speed and clarity as progress. A Company that only reports good news is not being honest. We intend to be honest.
Why we exist
Science serves humanity.
Innovation creates hope.
Health brings joy.
Joy creates smiles.
Smiles produce gratitude.
Gratitude changes the world.
That is why BIOT exists.
For humanity. For health. For happiness. Always.
A final word
There is a single principle that guides how I lead this Company: “nigenai” — we do not run away. Not from hard science, not from hard decisions, and not from our responsibility to you as shareholders. From that principle come the three convictions that define our culture.
Never give up. Never lose. Never lose belief.
With these three convictions, we will keep going until we have brought joy, smiles, and gratitude to every person in the world.
We are grateful you chose to walk this road with us from the beginning, and we intend to be worthy of that choice.
Sincerely,
/s/ Tomoki Nagano
