Company & Business Overview

What does BIOT actually do?

BIOT is a Cayman Islands holding company. Through its Japan-based operating companies, its business is built on two pillars: cosmetics and research and development in the field of regenerative medicine, grounded in Japanese manufacturing quality and a disciplined approach to international expansion.

What are the Company's revenue pillars?

The current core of revenue is the cosmetics business, complemented by activities related to the regenerative medicine field. Financial details follow our SEC filings (Form 20-F and 6-K).

How does the Company view its market opportunity?

We believe the skincare and cosmetics markets, together with markets related to regenerative medicine, offer growth potential, particularly across Asia. Where market size or growth rates are cited, we use only third-party sourced figures with the source identified.

How is the Company differentiated?

We differentiate through Japanese manufacturing quality, our own brands, the use of stem-cell-derived materials, and a direct-to-consumer sales base. Please refer to our official disclosure documents for details.

Where does the Company operate?

Japan is our home market, and we are expanding into Asian markets including Singapore and Indonesia. Details are set out in our disclosure documents.

What is the Company's history?

The group was founded in Japan in 2011 and has operated in skincare and wellness since then. To secure growth capital and support global expansion, we completed a business combination (de-SPAC) with Relativity Acquisition Corp. and, as INSTINCT BIO TECHNICAL COMPANY HOLDINGS INC., began trading on Nasdaq under the ticker “BIOT” on July 24, 2026.

03

Cosmetics Business

What is the cosmetics business and what are its main products?

We operate OEM skincare and beauty brands such as Brosky and bebe, alongside our own brands including Genréver. Our products feature advanced stem-cell-derived beauty ingredients and proprietary formulations.

What are the sales channels?

OEM, ODM, direct-to-consumer, e-commerce, and retail, across Japan and Asian markets.

What is the scale of revenue and growth?

Financial figures follow those stated in our filings (Form 20-F and 6-K). Gross margin has been maintained at a high level. We reference only figures that have already been disclosed.

How does the Company handle claims and regulatory compliance?

We comply with cosmetics advertising and labeling regulations in each market (in Japan, the Pharmaceuticals and Medical Devices Act; in the U.S., FTC and FDA requirements, among others) and make claims only within permitted limits. Outside Japan we work with local partners and specialists. We regard regulatory capability as a barrier to entry and a source of competitive advantage.

How do stem cells relate to the cosmetics business?

We use materials such as stem cell culture supernatant as cosmetic ingredients. This is cosmetic use and is distinct from the practice of medicine.

04

Regenerative Medicine & Stem Cells

What is the regulatory status?

Each activity is operated within its applicable regulatory category (cosmetic ingredients, research, and so on). The status of any approvals or licenses follows our disclosures.

What stage of commercialization is this at?

Partly commercialized and partly at the research and development stage. Details follow our disclosures.

How does the Company address safety and evidence?

We explain only within the scope of available safety data and third-party evaluation. We do not assert clinical efficacy without substantiation.

Are there university licenses or partnerships?

We disclose partnerships and licenses only as confirmed, publicly announced facts and within the limits of the relevant agreements.

05

Listing & de-SPAC

How did the Company become listed on Nasdaq?

Through a business combination (de-SPAC) with Relativity Acquisition Corp., the Company listed on Nasdaq on July 24, 2026. Related documents are publicly available on SEC EDGAR.

Why did the Company list via a SPAC?

We judged it the route best suited to our stage, considering time to listing, access to growth capital, and reach to a global investor base. This does not guarantee any outcome; please also review the risk factors in our filings.

Who is the SPAC sponsor and what is the relationship?

The sponsor is Relativity Acquisition Sponsor, LLC. Relationships and any conflicts of interest are described in our filings. All investor inquiries are handled centrally by Instinct Bio Investor Relations.

What was the structure and consideration of the transaction?

We listed on Nasdaq through a business combination (de-SPAC) with Relativity Acquisition Corp. The consideration and other terms are as set out in the registration and disclosure documents, including Form F-4.

What is the lock-up status?

The covered shareholders and periods are as stated in our filings.

How will the proceeds be used?

Primarily to expand the cosmetics business and to support activities related to the field of regenerative medicine. Details follow our disclosures and may be adjusted within reasonable limits as conditions change.

What are the sources of dilution after listing?

The principal sources are exercises of the public and private warrants (BIOTW). Shares outstanding, fully diluted shares, and exercise prices are as stated in our filings.

06

Reporting & Governance

When and how are financial results disclosed?

As a foreign private issuer, we disclose annually on Form 20-F and report material interim events on Form 6-K. Dates will be posted in the IR Calendar as they are confirmed.

Why is the Company a foreign private issuer?

The Company qualifies as a foreign private issuer. We report annually on Form 20-F and on an interim basis on Form 6-K; quarterly reports on Form 10-Q are not required. This reflects the applicable regime and does not mean a lower standard of disclosure.

What are the internal control and disclosure arrangements?

We centralize external communications, maintain internal rules for Form 6-K reporting, and provide disclosure-discipline training to support appropriate disclosure.

Who is the Company's auditor?

Our independent registered public accounting firm is as stated in our filings.

07

Financials & Growth Strategy

How have recent revenue and profitability trended?

Financial figures follow those stated in our filings (Form 20-F and 6-K). Our mix centers on high-value stem-cell-related cosmetics and beauty ingredients, and gross margin has been maintained at a high level. We reference only figures already disclosed.

How does the Company view its funding runway?

We are in a growth-investment phase, funding research and development, international expansion, brand building, and listing-related costs. Following the listing, we intend to secure required capital in part through improved access to the capital markets.

What is the outlook for profitability?

We do not currently provide guidance on a specific timeline to profitability. Our intention is to pursue stepwise earnings growth as existing operations improve in profitability and newer activities scale.

What is the cost structure?

The principal costs are cost of goods and manufacturing, marketing and promotion, research and development, and general and administrative expenses. Because the mix centers on high-value materials, gross margin has been maintained at a high level.

What are the medium-term growth drivers?

Expansion of the cosmetics business and regenerative-medicine-related activities, together with international expansion centered on Southeast Asia, drawing on our proprietary formulations and quality-control know-how.

Does the Company have a market capitalization target?

We do not provide any specific market capitalization figure as guidance. Our focus is on the steady growth of the business.

08

Shares & Investor Matters

What is the dividend policy?

No dividend is currently planned. For the time being, capital is reinvested into R&D, manufacturing capacity, and international expansion.

How does the Company view share price volatility?

Share prices are set by the market and are not something the Company controls. What we can do is execute the business and disclose accurate information in a timely, even-handed manner. We encourage investors to rely on our SEC filings and official disclosures rather than rumor or unverified information.

How does the Company respond to short sellers and criticism?

We respond on the basis of facts and through official disclosure. We do not react to speculation case by case; consistency of disclosure is our answer.

How can I buy shares?

Our ordinary shares trade on Nasdaq under the ticker “BIOT.” Shares must be purchased through a licensed broker. The Company does not solicit investment or provide investment advice.

Who is the Company’s transfer agent?

Our transfer agent, CUSIP, and other share-related details will be posted in the Stock Information section once confirmed.
